Terms and Conditions

1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your use of the website, services, and business operations of Delight International Facilities Management LLC ("Delight IFM", "Company", "we", "us", or "our"), a company registered and operating in the United Arab Emirates.
By accessing our website at delightifm.com, submitting a service enquiry, accepting a quotation, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity.
These Terms should be read in conjunction with our Privacy Policy, which governs how we collect and process your personal data. Where a separate written contract or Annual Maintenance Contract (AMC) exists between you and Delight IFM, the terms of that contract shall prevail in the event of any conflict with these general Terms.
2. Our Services
Delight IFM provides professional facility management services across Abu Dhabi, Dubai, and the wider UAE. Our service portfolio includes, but is not limited to:
- Cleaning services (residential, commercial, and specialised)
- Maintenance and repair services (AC, electrical, plumbing, general)
- Fire and safety systems (installation, inspection, and compliance)
- Fit-out, renovation, and civil works
- Property management
- Data centre management
- Specialist services (pest control, security, landscaping, waste management)
All services are subject to availability and may vary by location. We reserve the right to modify or discontinue any service offering at our discretion with reasonable notice to affected clients.
3. Quotations and Pricing
- All quotations issued by Delight IFM are valid for 30 calendar days from the date of issue, unless a different validity period is expressly stated in the quotation.
- Prices are quoted in UAE Dirhams (AED) and are exclusive of Value Added Tax (VAT at 5%) unless clearly stated otherwise.
- Quotations are based on the information provided by the client and initial site assessment. The final price may be adjusted if the actual scope of work differs materially from the original specification, additional work is requested, or site conditions are found to differ from the initial assessment.
- Any variation to the agreed scope of work will be documented in writing and priced separately before execution.
- For ongoing contracts, we reserve the right to adjust pricing with 30 days' written notice, reflecting changes in material costs, labour rates, or regulatory requirements.
4. Booking, Scheduling, and Cancellation
4.1 Booking Confirmation
Service engagements are confirmed upon (a) the client's written acceptance of the quotation (including email acceptance), and (b) receipt of any required advance payment, where applicable. A confirmed booking constitutes a binding agreement subject to these Terms.
4.2 Cancellation by Client
- Cancellations made 48 hours or more before the scheduled service: no charge.
- Cancellations made between 24 and 48 hours before the scheduled service: a cancellation fee of 15% of the quoted amount may apply.
- Cancellations made less than 24 hours before the scheduled service, or no-shows: a cancellation fee of up to 25% of the quoted amount may apply.
4.3 Rescheduling and Cancellation by Delight IFM
We reserve the right to reschedule or cancel a service due to adverse weather conditions, force majeure events, staff emergencies, or safety concerns at the service location. In such cases, we will notify you as soon as reasonably practicable and offer alternative scheduling at no additional cost. If we cancel a service and cannot reschedule within a reasonable timeframe, any payments received will be fully refunded.
5. Payment Terms
- For one-time services, payment is due upon completion of the service unless credit terms have been agreed in writing.
- For Annual Maintenance Contracts (AMCs) and ongoing engagements, payment terms are as specified in the individual contract, typically monthly or quarterly invoicing with a 30-day payment window.
- For large projects (fit-out, renovation, or civil works), payment milestones will be agreed in the contract and are typically structured as: advance payment (10-20%), progress payments at defined milestones, and final payment upon completion and sign-off.
- We accept payment by bank transfer, credit card, debit card, and cash. Cheque payments are accepted subject to prior arrangement.
- Invoices not settled within the agreed payment period may incur a late payment charge of 1.5% per month (or the maximum rate permitted under UAE law, whichever is lower) on the outstanding balance.
- We reserve the right to suspend services where payments are overdue by more than 30 days, after issuing a written reminder.
6. Client Responsibilities
To enable us to deliver services safely and effectively, the client agrees to:
- Provide safe and reasonable access to the service location at the agreed time.
- Disclose any known hazardous materials, substances, or conditions on the premises (including asbestos, chemical storage, or structural issues).
- Remove or secure valuables, fragile items, and personal belongings in areas where work will be performed.
- Ensure that necessary utilities (water, electricity) are available and functional during the service.
- Obtain any required permissions from building management, landlords, or relevant authorities before the scheduled service date.
- Provide accurate and complete information about the scope of work during the quotation stage.
7. Service Standards and Guarantee
Delight IFM is committed to delivering services to the highest professional standards. We are certified to ISO 9001:2015 (Quality Management), ISO 14001:2015 (Environmental Management), and ISO 45001:2018 (Occupational Health & Safety), and all work is performed in accordance with these management systems.
7.1 Service Guarantee
If you are not satisfied with any aspect of a completed service, you must notify us in writing within 48 hours of service completion, providing details of the issue. We will investigate and, where the concern is substantiated, rectify the issue at no additional cost within a reasonable timeframe.
7.2 Warranty on Works
- Cleaning and maintenance services: Covered by our service guarantee (48-hour notification period).
- Fit-out and construction works: Subject to a defects liability period of 12 months from practical completion, during which we will rectify any defects arising from our workmanship or materials at no cost.
- MEP installations: Subject to the manufacturer's warranty on equipment plus our 12-month workmanship warranty.
Warranties do not cover defects arising from misuse, negligence, unauthorised modifications by third parties, normal wear and tear, or failure to follow recommended maintenance schedules.
8. Limitation of Liability
- Delight IFM carries comprehensive general liability insurance and workmen's compensation insurance for all operations.
- Our total liability for any claim arising from or related to our services shall not exceed the total value of the specific service engagement giving rise to the claim.
- We shall not be liable for:
- Pre-existing damage, defects, or conditions at the service location.
- Normal wear and tear or deterioration of materials.
- Damage caused by third parties, the client, or the client's employees or agents.
- Indirect, consequential, or incidental losses (including loss of revenue, business interruption, or loss of data).
- Delays or failures caused by force majeure events.
- Any claim must be submitted in writing within 30 days of the incident or completion of the relevant service. Claims submitted after this period may not be accepted.
9. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to: natural disasters, extreme weather, pandemics, government actions or restrictions, civil unrest, power or telecommunications failures, supply chain disruptions, or labour disputes. The affected party shall notify the other party as soon as practicable and use reasonable efforts to mitigate the impact.
10. Intellectual Property
All content on the Delight IFM website (including but not limited to text, images, photographs, graphics, logos, icons, videos, software, and page layouts) is the property of Delight International Facilities Management LLC and is protected by UAE intellectual property laws and international copyright conventions.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our website without our prior written consent. Limited, non-commercial use of content is permitted for personal reference, provided that proper attribution is given and the content is not altered.
11. Website Terms of Use
- The information on our website is provided for general informational purposes and does not constitute a binding offer or professional advice.
- We make reasonable efforts to ensure the accuracy of information published on our website but do not guarantee that all content is complete, accurate, or up to date at all times.
- You agree not to use our website for any unlawful purpose, to transmit malicious code, to attempt to gain unauthorised access to our systems, or to interfere with the website's operation.
- Our website may contain links to third-party websites. We have no control over and assume no responsibility for the content, privacy practices, or availability of those sites.
12. Confidentiality
Both parties agree to treat as confidential any proprietary, commercial, or technical information disclosed during the course of the business relationship. This obligation survives the termination of any service engagement and applies for a period of 2 years following disclosure. This clause does not apply to information that is already publicly available, independently developed, or required to be disclosed by law.
13. Termination
13.1 One-Time Services
One-time service engagements conclude upon completion of the agreed scope of work and settlement of all outstanding payments. The cancellation provisions in Section 4 apply to services not yet commenced.
13.2 Ongoing Contracts and AMCs
Either party may terminate an ongoing contract by providing written notice as specified in the contract (typically 30-60 days). Early termination by the client may be subject to a termination fee covering costs already incurred and committed resources. Termination does not affect any rights or obligations accrued prior to the termination date.
13.3 Termination for Cause
Either party may terminate the agreement immediately by written notice if the other party commits a material breach that remains unremedied for 14 days after written notice of the breach, or becomes insolvent, enters liquidation, or ceases to carry on business.
14. Dispute Resolution
In the event of any dispute arising from or relating to these Terms or the services provided by Delight IFM, the parties shall first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved within 30 days of written notification, it shall be referred to mediation under the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC) or the Dubai International Arbitration Centre (DIAC), at the election of the claimant. The language of proceedings shall be English.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, including all applicable federal and local laws of the Emirate where the service is performed. Subject to the dispute resolution provisions in Section 14, the courts of the relevant emirate (Abu Dhabi or Dubai) shall have non-exclusive jurisdiction over any proceedings arising from these Terms.
16. Amendments
We reserve the right to update or modify these Terms at any time. Material changes will be communicated by updating the "Effective date" at the top of this page and, where applicable, by notifying active clients in writing. Continued use of our services or website after changes are published constitutes acceptance of the revised Terms.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
